Does Your Business Need a Statutory Audit?

In the UK, a statutory audit is legally required if your private limited company meets, for two consecutive years (or just one year for new incorporations) two or more of the following:

Prior to year ends commencing 6 April 2025:

Your Title Goes Here

Annual turnover exceeding £10.2 million

Your Title Goes Here

Balance sheet total above £5.1 million

Your Title Goes Here

More than 50 employees

For year ends commencing 6 April 2025:

Your Title Goes Here

Annual turnover exceeding £15 million

Your Title Goes Here

Balance sheet total above £7.5 million

Your Title Goes Here

More than 50 employees

For groups, the thresholds need to be assessed incorporating all worldwide companies within the group. There are, however, slightly higher thresholds available for groups on a ‘gross’ basis.

Even if your company or group does not meet two or more of the above thresholds, investors and lenders may request one to ensure financial transparency. There may also be other legal requirements for an audit. For instance:

Bankers re statutory audits
Banks & lenders before approving funding.
shareholders re statutory audits
Investors & stakeholders seeking financial transparency.
Industry regulators re statutory audit

Industry regulators (Financial Conduct Authority (FCA), and the Charities Act requirements).
